Mayer Law Firm, LLC Attorney-Client Agreement

You, the Client named below, are hiring the Mayer Law Firm, LLC to review your proposed or current employment contract, according to your selected package option below. This mutual agreement will form an attorney-client relationship between you and the Mayer Law Firm, LLC. The components of the Mayer Law Firm, LLC’s package options are listed below:

• Initial phone consultation to learn about your preferences and goals (optional)
• In-depth line-by-line examination of the contract analyzing the document's strengths, areas for improvement, and red flags
• Salary and benefit evaluation (MGMA data)
• One-on-one phone conference with you to explain the contract analysis and answer your questions
• Review of contract revisions

Add-ons:
• (+$450) Detailed written memo containing the contract analysis and suggested changes
• (+$1,050) Lawyer will negotiate with your potential employer to improve your contract
• (+$225) Expedited (2 business days) turnaround. Standard contract review turnaround is up to 5 business days.
• (+$25) Per page fee for contract pages exceeding 25 pages.

DISPUTE RESOLUTION
Hourly Pricing
• For clients currently employed and experiencing a contract dispute, we will discuss with you the issue in dispute and the outcome you are seeking
• We will examine the relevant sections of your contract
• We will counsel you on ways to resolve the contract dispute
• We can negotiate and mediate with your employer on your behalf

Promptness and Length:

Standard turnaround time for contract review is up to 5 business days. Expedited (2 business days) turnaround is available for a rush fee (listed above). The Contract Review rate assume a contract length of up to 25 pages; however, longer contracts can be reviewed subject to an additional fee per page (listed above).

Scope of Representation:

For the Contract Review package, representation by the Mayer Law Firm will be limited to, and conclude upon performance of, the enumerated components. The phone conference time allotment for contract review with you will be up to 3 hours (excludes initial phone consultation). If applicable, the allotment of time for negotiation with a potential employer will be up to 10 hours. Payment for Contract Review is due up front, in full, before representation or turnaround timelines can begin.

Based on client demand levels and staffing, the Mayer Law Firm may from time to time have to turn away a client, and therefore, the Mayer Law Firm has 24 hours from receiving payment to notify a client of unavailability and to offer a full refund. If a refund is issued, legal representation and this agreement will be null and void.

Under the terms of the Dispute Resolution package, representation by the Mayer Law Firm will be limited to, and conclude upon performance of, its respective enumerated components, as the dispute(s) at issue require. Time allotments for counseling with you, and negotiation and/or mediation with the other party, can vary on a case by case basis and are thus to be determined by the needs of each case. Additional terms for the Dispute Resolution package will be mutually agreed upon by you and the Mayer Law Firm, and will be incorporated and fully part of this client agreement. Payment for Dispute Resolution may be due prior to representation or at the conclusion of representation, as mutually agreed upon by you and the Mayer Law Firm.

Understanding:

If the Mayer Law Firm, LLC is hired to negotiate or mediate on your behalf, you understand that the Mayer Law Firm, LLC cannot guarantee any outcome. Furthermore, with this understanding, you agree to hold the Mayer Law Firm, LLC harmless, even if, despite the Mayer Law Firm, LLC’s good faith efforts, a favorable outcome cannot ultimately be achieved.

The Mayer Law Firm, LLC and its affiliates are not tax advisors and none of their advice should be construed as tax advice.

Additional Specifications:

Unless otherwise explicitly agreed to by the Mayer Law Firm, LLC, each contract that you submit for review to the Mayer Law Firm, LLC will constitute a separate and individual transaction with the Mayer Law Firm, LLC, each of which will require the purchase of its own Package.

This engagement letter constitutes the entire agreement between you and the Mayer Law Firm, LLC. If applicable, additional terms as agreed to in writing pursuant to the Dispute Resolution package will be incorporated into this agreement.

The Mayer Law Firm, LLC seeks to gain full client satisfaction. Nonetheless, you may terminate the employment of the Mayer Law Firm, LLC at any time.

If a dispute should arise between you and the Mayer Law Firm, LLC, and it cannot be resolved between these two parties, then the two parties agree to resolve the dispute before an independent arbitrator, who is to be agreed upon, and paid equally (50/50), by both parties. Such arbitration would be binding and in lieu of litigation. It is understood that you are seeking the services of an attorney based in the state of Colorado. Therefore, the laws of the state of Colorado shall determine all matters, and any legal or arbitration proceedings shall be held in the metropolitan area of Denver, Colorado.

This agreement may only be amended in writing and must be signed by both parties; however, additional terms under the Dispute Resolution package will be incorporated as such once determined.
